Terms of Service

These Terms of Service ("Terms") govern access to and use of MRPverse (the "Service"), provided by Offers Bakers LLC, a Wyoming limited liability company with a principal office at 30 N Gould St Ste R, Sheridan, WY 82801 ("Company", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and confirming you have authority to do so.

1. The Service

MRPverse is a manufacturing resource planning (MRP) tool for tracking items, bills of materials, manufacturing orders, sales and purchase orders, inventory, and related business data. The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information when creating an account and keep it up to date. We may suspend or terminate accounts that violate these Terms.

3. Your data

You retain all rights to the data you enter into the Service (items, orders, customers, suppliers, and related business records). We do not claim ownership over your data and will not sell it. You can export your data at any time while your account is active. See our Privacy Policy for how we handle data.

4. Subscription and billing

The Service is offered on a subscription basis at the price displayed at signup. Fees are billed in advance on a recurring basis and are non-refundable except where required by law. We may change pricing with advance notice; continued use after a price change takes effect constitutes acceptance of the new price. You may cancel at any time; cancellation takes effect at the end of the current billing period.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Service or other tenants' data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer or attempt to extract the source code of the Service, except as permitted by law

6. Third-party integrations

The Service may connect to third-party platforms (such as Shopify) at your direction. We are not responsible for the availability, accuracy, or conduct of third-party services. Your use of those services is governed by their own terms.

7. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach after notice. Upon termination, we will make your data available for export for a reasonable period before deletion.

8. Limitation of liability

To the maximum extent permitted by law, the Company will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

9. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.
